Updated 5 November 2026

On 6 October 2026, the Securities and Exchange Commission of Pakistan (SECP) reminded companies whose financial year ended on 30 June 2026 to hold their annual general meetings (AGMs) by 28 October 2026, within 120 days of the close of the financial year, and to complete the related filings.

Compliance checklist

  1. Annual general meeting: hold the AGM within 120 days of the year end and lay the audited financial statements before members.
  2. Annual return: file Form A if company particulars have changed since the last return, or Form 24 if they have not. Single-member companies and private companies with paid-up capital of up to Rs 3 million are exempt from filing where nothing has changed.
  3. Ultimate beneficial ownership (UBO): issue the required notices, obtain declarations and updates, maintain the register of ultimate beneficial owners, and file Form-19 with the Registrar together with the annual return. Companies that are not required to file an annual return should file Form-19 within 30 days of the end of the calendar year.
  4. Financial statements: file the audited financial statements with the Registrar within the period required under the Companies Act, 2017.

If a deadline has been missed

Late filings can attract additional fees and penalties under the Companies Act, 2017, and directors may be held responsible. Missed filings should be completed as soon as possible, and any extension or condonation options should be considered with your advisers.
